1. Acceptance of Terms

By accessing and using the website https://innovistatech.ca and engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and InnoVista Tech ("Company," "we," "us," or "our"), an AI automation company based in Toronto, Ontario, Canada.

2. Services Description

2.1 AI Automation

InnoVista Tech designs, builds, and deploys practical AI automation for small businesses. This service is requirements-led — we look at how your business operates, identify repetitive work, and build automations around your specific workflows, tools, and business rules.

Core AI Automation Services:

  • Discovery and workflow assessment
  • AI lead follow-up and qualification automation
  • Appointment booking and scheduling automation
  • AI website and chat assistant deployment
  • AI phone and voice assistant deployment
  • Customer follow-up automation
  • CRM and data automation between your existing systems
  • Document and admin automation
  • Custom AI workflow design and architecture
  • Testing, quality assurance, and defined human handoff points
  • Ongoing monitoring, support, and optimization

Automation projects follow a defined, six-step process from scoping to launch:

Understand

We review the process you want to improve, the tools you use, and where time is being lost.

Design

We define what the AI should handle, what it should never do, and when a person should take over.

Build

We connect the right AI services, business systems, communication channels, and rules.

Test

We test real scenarios, edge cases, handoffs, and failure conditions before going live.

Launch

Your automation goes into production with clear instructions and monitoring.

Improve

We review how it performs and make practical improvements as your business changes.

Important Note: Automation timelines and outcomes vary based on workflow complexity, the number of systems being integrated, and how quickly the Client provides access, feedback, and approvals.

3. Service Agreements and Contracts

3.1 Individual Service Contracts

Each engagement will be governed by a separate service agreement or scope confirmation that includes:

  • Scope of work
  • Timeline and deliverables
  • Pricing and payment terms
  • What the automation will and will not handle, including human handoff points

4. Payment Terms

4.1 Fees and Pricing

  • All fees are quoted in Canadian Dollars (CAD) unless otherwise specified
  • Most projects begin with a one-time setup fee based on the workflow and integrations involved
  • An optional monthly plan is available for monitoring, support, and improvements
  • Custom quotes are provided for multi-workflow or complex integration projects
  • Any third-party platform, API, or messaging fees required to run your automation (for example, SMS or voice provider costs) are billed separately and disclosed before development starts

4.2 Payment Schedule

Monthly Plans:

  • Payment due monthly in advance
  • First payment due upon service commencement
  • Subsequent payments due on the same calendar day each month

Project-Based Setup Fees:

  • Payment schedule outlined in the individual service agreement
  • Typically 50% upfront, 50% upon completion

4.3 Late Payments

  • 1.5% monthly interest on overdue amounts
  • Service suspension after 15 days of non-payment
  • Service termination after 30 days of non-payment

4.4 Refund Policy

  • Monthly plans: No refunds for partial months
  • Project-based setup fees: Refunds based on work completed
  • Refund requests must be submitted in writing
  • Third-party platform costs paid on the Client's behalf are non-refundable and governed by that provider's own policies

5. Client Responsibilities

5.1 Information and Access

Clients must provide:

  • Accurate business information and a clear description of the workflow to be automated
  • Access to the tools and systems the automation needs to connect to (for example, CRM, calendar, email, or website)
  • Timely feedback and approvals on scope, testing, and go-live
  • Any content, policies, or business rules the automation needs to operate correctly

5.2 Account Security

  • Maintain security of provided access credentials
  • Notify us immediately of any security concerns
  • Comply with the terms of service of any third-party platform connected to the automation

5.3 Legal Compliance

  • Ensure all provided content and business rules comply with applicable laws in your jurisdiction
  • Maintain necessary licenses and permits required to operate your business
  • Comply with the terms of service of any third-party platform used by the automation

6. Intellectual Property

6.1 Client Content

  • Clients retain ownership of their existing content and materials, including brand assets and business data
  • Clients grant us a license to use their content for the purpose of building and operating the automation
  • Clients warrant they have rights to all provided materials

6.2 Our Work Product

Deliverables Created for Client:

  • Custom AI agents, workflows, and automation configurations (upon full payment)
  • Reports and analytics specific to the Client's automation

Our Intellectual Property:

  • Proprietary methodologies and processes for AI automation
  • Reusable frameworks, templates, and internal tooling
  • General industry knowledge and expertise

7. Confidentiality

7.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of:

  • Business strategies and plans
  • Financial information
  • Technical specifications
  • Client lists and contacts

7.2 Non-Disclosure

  • Confidential information not to be disclosed to third parties
  • Confidentiality survives termination of services
  • Exceptions for legal requirements or court orders

8. Performance and Results

8.1 Best Efforts

  • We provide services using industry best practices for AI automation
  • We make no guarantees of specific outcomes, time savings, or revenue results
  • Automation performance depends on factors beyond our control, including the quality of connected systems, data provided, and how consistently the Client uses the automation

8.2 Performance Metrics

  • Clients receive reporting on automation performance and workflow metrics relevant to their engagement
  • Historical performance does not guarantee future results

9. Termination

9.1 Termination by Client

  • Monthly plans: 30 days written notice
  • Project-based services: As specified in the service agreement
  • Payment required for services rendered up to the termination date

9.2 Termination by Company

We may terminate services for:

  • Non-payment of fees
  • Breach of terms
  • Illegal or unethical client activities
  • Violation of a connected third-party platform's policies

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of Ontario, Canada.

10.2 Mediation

Disputes should first be addressed through good-faith negotiation and mediation.

10.3 Arbitration

If mediation fails, disputes will be resolved through binding arbitration in Toronto, Ontario.
